1. Introduction and Scope

This Terms of Use Agreement (the “Terms”) governs your access to and use of the Mmmarvellous Home Cleaning Services Ltd (“mmmarvellous.co.uk,” “we,” “us,” or “our”) website located at mmmarvellous.co.uk, including all content and functionality thereof (collectively, the “Website”).

• Website Visitors: Individuals who browse the Website.
• Customers: Individuals or entities who create an account (“Account”) on the Website, typically to manage bookings.

Website Visitors and Customers may be referred to in these Terms as “you” and “your” as applicable.

IMPORTANT: These Terms govern your use of the Website ONLY. They do not apply to the provision of our home cleaning services. All cleaning services booked through this Website are governed by a separate “Customer Agreement” (or “Services Agreement”), which you must agree to before booking a service.

2. Acceptance of Terms

By accessing or using the Website, you accept and agree to follow and be bound by these Terms (whether on behalf of yourself or a legal entity you represent). You also agree to comply with all applicable laws and regulations.

If you do not agree to these Terms, you are not authorized and must cease using the Website immediately.

3. Eligibility

By using the Website, you represent and warrant that you are:

• At least 18 years of age; and
• Legally able to enter into a binding contract.

If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization’s behalf and bind them to these Terms.

4. User Accounts

When you create an Account, you must provide complete and accurate information. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your Account.

You may not use a third party’s Account, user name, or password at any time. You agree to notify us immediately of any unauthorized use of your Account. We shall not be liable for any losses you incur as a result of someone else’s use of your Account or password, either with or without your knowledge.

The Website and its original content, features, and functionality (including but not limited to all information, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Mmmarvellous Home Cleaning Services Ltd, its licensors, or other providers of such material. They are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

We grant you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Website for your personal, non-commercial use (or for internal business use if you are a Customer). You must not:

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as your computer may incidentally cache.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

Any use of the Website not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

6. Copyright Infringement (Notice and Takedown)

We respect the intellectual property rights of others. If you believe that any material available on or through the Website infringes upon a copyright you own or control, please immediately notify our Designated Copyright Agent using the contact information provided below (a “Notification”).

Your Notification must include:

1. Your full name, address, telephone number, and email address.
2. Identification of the copyrighted work claimed to have been infringed.
3. Identification of the material that is claimed to be infringing, and information reasonably sufficient to permit us to locate the material.
4. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
5. A statement that the information in the notification is accurate, and (if applicable) that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

7. Submissions Made in Bad Faith

You represent and warrant that any Notification or other legal claim you submit to us is made in good faith and based on a reasonable belief that an infringement or other illegal act has occurred.

By agreeing to these Terms, you acknowledge that responding to and investigating legal claims (including copyright notifications) requires significant administrative, technical, and legal resources.

You agree that in the event you, or anyone acting on your behalf, submit a Notification or other legal claim that is found by a court of competent jurisdiction to be vexatious, knowingly misleading, or otherwise made in bad faith, you will be liable to us for the costs incurred. For the avoidance of doubt, “bad faith” includes, but is not limited to, actions such as:

• (a) Submitting a monetary demand for an alleged copyright infringement (such as an attribution omission on a Creative Commons licensed work) without first attempting simple rectification (i.e., requesting the attribution be corrected);
• (b) Submitting a copyright claim for content which you know you do not own or control; or
• (c) Submitting a claim that is found to be a knowing misrepresentation of fact.

You agree that a sum of £5,000.00 (five thousand pounds) is a reasonable and genuine pre-estimate of the losses and costs we will incur in investigating, managing, and responding to such a bad-faith claim (including administrative time, third-party consultation, and legal fees). This sum shall be payable as liquidated damages, and this clause does not limit our right to seek further damages or other remedies (such as an injunction) as may be appropriate.

8. User Submissions and Feedback

If you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, “Comments”), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any Comments that you forward to us. We are and shall be under no obligation (1) to maintain any Comments in confidence; (2) to pay compensation for any Comments; or (3) to respond to any Comments.

You agree that your Comments will not violate any right of any third party, including copyright, trademark, privacy, or other personal or proprietary right. You further agree that your Comments will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware. You are solely responsible for any Comments you make and their accuracy.

9. Acceptable Use Restrictions

By using the Website, you agree not to:

• Use the Website in any way that violates any applicable local or international law or regulation.
• Engage in any conduct that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Impersonate or attempt to impersonate Mmmarvellous Home Cleaning Services Ltd, an employee, another user, or any other person or entity.
• Transmit any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
• Distribute computer viruses or other code, files, or programs that interrupt, destroy, or limit the functionality of any computer software or hardware.
• “Hack” or access without permission our proprietary or confidential records, or those of any other user.
• Use any “robot,” “spider,” “screen scraping,” “database scraping,” or other automated device, process, or means to access the Website for any purpose, including monitoring or copying any of the material.
• Attempt to decompile or reverse engineer any software contained on the Website.
• Interfere with, disrupt, disable, or overburden the functionality of the Website or the servers or networks connected to it.
• Use the Website to compile information for a product or service that competes with us.

We reserve the right to terminate your access to the Website for any violation of these restrictions.

Provisions that by their nature should survive termination shall survive, including, without limitation, intellectual property & copyright trolling provisions, warranty disclaimers, indemnity, and limitations of liability.

The Website may contain links to other third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party websites. You agree that we are not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites.

14. Warranties and Disclaimers

This disclaimer does not apply to any warranties related to our Cleaning Services, which are governed by the separate Customer Agreement.

15. Indemnification

You agree to defend, indemnify, and hold harmless Mmmarvellous Home Cleaning Services Ltd, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to solicitor’s fees) arising from:

(a) your use of and access to the Website;

(b) your violation of any term of these Terms; or

(c) your violation of any third-party right, including without limitation any copyright or privacy right.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Mmmarvellous Home Cleaning Services Ltd, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA) ARISING FROM YOUR USE OF THE WEBSITE, THIS AGREEMENT, OR ANY INABILITY TO USE THE WEBSITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE SHALL NOT EXCEED THE GREATER OF (I) £100.00 (ONE HUNDRED POUNDS) OR (II) THE AMOUNTS, IF ANY, PAID BY YOU TO US FOR ACCESS TO THE WEBSITE IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT ON WHICH YOUR CLAIM IS BASED.

THIS LIMITATION OF LIABILITY DOES NOT APPLY TO OUR LIABILITY FOR:

(a) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE;

(b) OUR FRAUD OR FRAUDULENT MISREPRESENTATION; OR

(c) ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

FOR CLARITY: These limitations apply only to the Website. Our liability related to the provision of Cleaning Services is detailed in the separate Customer Agreement.

17. General

• Assignability: You may not assign your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms.
• Force Majeure: We will not be liable for any failure or delay in the performance of our obligations under these Terms on account of events beyond our reasonable control (a “Force Majeure Event”), including but not limited to denial-of-service attacks, strikes, fires, acts of God, war, or governmental action.
• Governing Law & Venue: These Terms and any dispute arising out of or related to them or the Website will be governed by and interpreted in accordance with the laws of England & Wales. The courts of England & Wales shall have exclusive jurisdiction to settle any dispute or claim.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the use of the Website. They supersede all prior oral or written communications.
• Language: These Terms are provided in English. Any translations are provided for convenience only, and the English version will control in the event of a conflict.
• Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such term or any other term.
• Severability: If any part of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
• Headings: The headings used in these Terms are for convenience only and have no legal effect.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms by posting updates here. It is your responsibility to check this page periodically for changes. Your continued use of the Website following the posting of any changes constitutes acceptance of those changes.
